1. Acceptance of Terms

By accepting any quotation, estimate, invoice or making payment, the client agrees to these Terms & Conditions.

2. Scope of Services

• Only items specifically mentioned in the quotation are included.
• Any additional feature, design change or enhancement shall be treated as additional work.
• Additional work shall be quoted and billed separately.

3. Payment Terms

• Payments shall follow the milestones mentioned in the quotation or estimate.
• Advance payment is required before project commencement.
• Work may be paused for overdue payments.
• All payments are final and non-refundable.

4. Domain, Hosting & Renewals

• Premium domains or upgraded hosting are chargeable separately.
• Annual renewal: ₹7,000/year (includes Domain, Hosting & Basic Support unless otherwise stated).
• Renewal must be completed before expiry to avoid service interruption.

5. Third-Party Services

Pricing and policies of APIs, plugins, hosting providers, payment gateways and other third-party services may change without notice. Any additional cost shall be payable by the client.

6. Intellectual Property & Source Code

• The client receives ownership only of the deliverables specifically included in the approved quotation after full payment.
• Source code, source files, Git repositories, deployment scripts, reusable libraries, frameworks, internal tools and development assets are NOT included by default.
• Source code will not be provided unless it is explicitly mentioned as part of the approved quotation, estimate, invoice or a separate written agreement.
• Delivery of a live website or application does not imply transfer of source code ownership.
• Third-party software remains governed by its respective licenses.

7. Responsibility & Liability

Webmitr Digital Services Pvt. Ltd. shall exercise reasonable skill and care in delivering services. However, Webmitr shall not be liable for delays caused by clients, hosting providers, internet outages, APIs, or other third-party services, nor for indirect or consequential losses including loss of revenue, business, goodwill or data.

8. Suspension of Work

Webmitr reserves the right to pause or postpone work due to delayed payments, incomplete requirements or breach of agreed terms.

9. Jurisdiction

All disputes shall be subject to the exclusive jurisdiction of the competent courts of Bhopal District, Madhya Pradesh, India.
